Steel Dynamics Inc. announced on 4 August 2026 that Theresa E. Wagler, the company’s executive vice president and chief financial officer, will become president and chief executive officer effective 1 January 2027. Co-founder Mark D. Millett, who has led the Fort Wayne, Indiana-based steelmaker as CEO since its founding, will move into the role of executive chairman of the board.

Wagler joined the company’s board with immediate effect as part of the transition, according to the company’s announcement. Richard A. Poinsatte, currently executive vice president and treasurer, was promoted to succeed her as chief financial officer once the transition takes effect.

A five-month runway to transition

The company said the extended notice period, with the changes taking effect nearly five months after the announcement, was designed to allow an orderly handover of financial and operational responsibilities. Steel Dynamics is one of the largest steel producers and metals recyclers in the United States, operating electric-arc-furnace mini-mills that melt scrap metal rather than iron ore, a lower-emission production method than traditional blast furnaces.

Why a finance chief, not an operations veteran

Wagler has served as CFO since 2014 and has been with the company for more than two decades, giving her direct oversight of the capital spending behind Steel Dynamics’ recent expansion into flat-rolled steel and aluminium recycling. Analysts covering the sector have noted that her selection continues a broader trend of finance executives moving into industrial CEO roles as capital allocation and decarbonisation investment become central to steelmakers’ competitiveness.

Why It Matters

Succession at a company its founder still leads is one of the more difficult transitions in corporate governance, and Steel Dynamics’ choice to promote from inside its finance function, while retaining Millett’s strategic input as executive chairman, reflects a cautious approach favoured by many US industrials. For a sector under pressure to cut emissions and manage volatile scrap and energy costs, who holds the CEO title matters well beyond the company itself.
